The Foundation For Kentuckys Lost Covered Bridges has posted below the Bylaws of The Foundation. The Bylaws will be updated when changes are made.

Bylaws of The Foundation For Kentuckys Lost Covered Bridges

 

The name of the said Foundation will be The Foundation For Kentuckys Lost Covered Bridges,Inc  mentioned below as "The Foundation"

 The purpose and mission statement for The Foundation For Kentuckys Lost Covered Bridges  is;

The research, documentation, recording and making available to the public pictures, information and history of the lost covered bridges that once stood in Kentucky. The study of local history and the Civil War will also be the mission.

 

The Board of Trustees

The Board of Trustees shall consist of three Trustees who shall govern the Foundation.

Trustees shall be appointed by a general election of the basic membership.

Trustees term in office shall run for a period of no maore than one year terms, the calender year beginning January 1st  and ending at midnight on December 31st.

The Trustees shall rule on business matters for the Foundation and the majority rule shall become the final say.

Trustees shall have the authority to change the Bylaws only by a majority vote of the Trustees and only at a regular scheduled business meeting that is duly recorded.

Trustees shall order the Treasurer to pay the bills after they have been ruled on. The majority vote being the rule.

Trustees shall rule whether properties and assets shall be accepted, majority rule shall be the rule.

Trustees shall order taxes filed and paid either directly or as an order to the Treasurer to hire the process done.

The Trustees shall act in a professional manner at all times and in a manner that is supportive of historical research, the Foundations mission statement and in the interest of the general public.

It shall be the duty of the Foundation to operate in a manner to enhance local and other legitimate historical societies in their endeavors.

 

The Executive Board

The Executive Board shall consist of, The President, Vice-President, Secretary and Treasurer.

Executive Officers shall be appointed by a majority vote of the general membership.

All Executive Officers shall serve terms of one year in length.

The calender year beginning on February 1st and ending Janruary 31st of the following year.

The President shall operate the Foundation within the realm set forth by the bylaws, the mission statement,, any rulings made by the Board of Trustees and in co-operation with all of the other officers.

The Vice-President shall work in conjunction with the president.

The Vice-President shall operate at all times within the realm of the Bylaws and in compliance with the mission statement.

The Secretary shall keep records for and by the Foundation as far as business matters. The secretary shall be in charge of having, or having them to be recorded,  the records from all the business meetings.

Upon completion of the secretary's term in office, all records shall be surrended or cause to have surrendered, upon request, to  the Board of Trustees.

Secretary shall make available to any officer or trustee of the Foundation any records requested within a timely manner.

Secretary shall make available or cause to have made available, any records requested by a legitimate governmental agency in compliance with any audit by such agency.  (Local law shall take presidence in these matters)

The Treasurer shall deposit or cause to have deposited, any funds that are sent or otherwise acquired by the Foundation into a bank account that has been duly opened by the Board of Trustees.

The Treasurer shall pay, or cause to have paid any bills, debts, or taxes duly ordered by the Board of Trustees.

The Treasurer shall make available, or cause to make available, any records that are evidence of these transactions to any officer or Trustee of the Foundation.

Treasurer shall create, or cause to create a financial report of assets and expenditures with details of who, what , when and where funds were paid to and how much assets were received to be presented at regular business meetings.

Treasurer shall also present, or cause to present financial records for the purpose of filing taxes to the Board of Trustees or any other tax preparers so ordered by the Trustees.

All Executive Officers shall have the authority to appoint any other officers necessary in the operation of the Foundation and to assign a designated title to said officer. 

Auxiliary Board

The Auxiliary Board shall consist of County Directors (One from each County)

County Directors shall be appointed by the President with consent from the Executive Officers.

County Directors shall operate within their county in a manner that enhances the Foundation's Mission statement and in compliance with the ByLaws of the Foundation.

All activities shall be approved by the general consent of the Executive Officers.

All major issues shall be ruled on by the Board of Trustees.

The Foundation shall furnish as much material and support in their efforts as can be applied and will participate in activities as much as possible.

All information received that is applicable to the mission of the Foundation shall be surrendered to the Executive Board for inclusion into the Gallery.

Any and all County Directors shall have the authority to appoint volunteers to accomplish any of their needed tasks and shall assign a title to any said officer.

Copywiriting

All materials received for the Foundation shall be copywrited by the Foundation if possible with the original owners having the authority to later allow use to any publisher. All proceeds arising from publications shall be paid by the publisher to the original owner.

Any material received, pictures, information and/or articles shall be checked to prevent copywrite infringments and all copywrite laws shall be followed.
